ROC annual filing chase list for CA firms: AOC-4 by 30 Oct, MGT-7 by 29 Nov 2026
What you get from this guide: a finished chase list for FY 2025-26 ROC annual filings. Put each company client's AGM date in one column. AOC-4 is due 30 days after it and MGT-7/MGT-7A 60 days after it. LLP clients go on the same sheet for Form 8 (30 Oct). Collect documents in the order below, and use the short scripts to ask each client for one thing at a time. As of 14 Oct 2026 MCA has not extended these dates, so plan to the statutory deadlines.
The due dates you can rely on (FY 2025-26)
| Form | Who | Rule | If AGM on 30 Sep 2026 |
|---|---|---|---|
| AOC-4 / AOC-4 CFS / AOC-4 XBRL | Companies (financial statements) | Within 30 days of the AGM (s.137) | 30 Oct 2026 |
| MGT-7 / MGT-7A (small companies and OPCs) | Companies (annual return) | Within 60 days of the AGM (s.92(4)) | 29 Nov 2026 |
| AOC-4 (OPC) | One Person Companies | Within 180 days of FY end (s.137 proviso) | 27 Sep 2026 (already passed, so chase any OPC still pending now) |
| ADT-1 | Companies appointing or reappointing an auditor at the AGM | Within 15 days of the AGM | 15 Oct 2026 |
| LLP Form 8 (Statement of Account & Solvency) | LLPs | Within 30 days from the end of six months of the FY (LLP Rules, r.24) | 30 Oct 2026 (fixed, no AGM link) |
Earlier AGM, earlier dates. AGM on 15 Sep 2026 → AOC-4 15 Oct, MGT-7 14 Nov. AGM on 20 Aug 2026 → AOC-4 19 Sep, MGT-7 19 Oct. If the AGM was not held, count from 30 Sep 2026, the last date it should have been held. If the RoC extended the AGM, count from the AGM actually held.
Late filing: MCA charges an additional fee for each day of delay on AOC-4 and MGT-7. Check the current fee in the MCA fee rules before you quote a number to a client.
Count-back chase plan (for a 30 Oct AOC-4)
| When | Who | What to ask for | Tone tip |
|---|---|---|---|
| Now (14–16 Oct) | Every company and LLP client | Confirm the AGM date, whether the auditor was appointed or reappointed (ADT-1), and that each director's DSC is valid and linked on MCA V3 | Ask for one sheet only: a filled table, not a paragraph |
| By 18 Oct | Clients without signed accounts uploaded to you | Signed financial statements, board's report and auditor's report (PDF), plus XBRL data if the company is in the XBRL class | Name the exact documents you are missing |
| By 22 Oct | LLP clients | Form 8 figures (assets, liabilities, turnover) and partner confirmation of solvency, with designated partners' DSCs ready | Keep LLPs on their own rows: their date does not move with an AGM |
| By 25 Oct | Anyone with V3 portal or DSC issues | DSC re-association, director KYC status, login access for the company user ID | Fix logins early. Portal load is heaviest in the final week |
| 26–29 Oct | Prepared, unsigned forms | Director and professional DSC signatures on AOC-4 (and Form 8) | Send one "please sign today" message with the time slot |
| 30 Oct | Internal only | File what is signed, then record a written reason for each client you did not file | Never file on presumed consent |
| 1–20 Nov | Company clients | MGT-7/7A data: shareholding as at 31 Mar 2026, share transfers, director changes, board and general meeting dates, and the number of employees | Start MGT-7 while AOC-4 details are fresh |
