LLP Form 11: the annual return due within 60 days of the financial year end

Last updated 24 Oct 2026 · India

Short answer. Every LLP must file its annual return in Form 11 within 60 days of the close of the financial year under section 35 of the LLP Act 2008 and Rule 25 of the LLP Rules 2009. For a 31 March year end that is 30 May. It is due even if the LLP did no business. Form 11 reports partners, designated partners and contributions. It is separate from Form 8 (statement of account and solvency, due 30 October). Late filing attracts an additional fee for each day of delay under the LLP Rules.

What you need

Certification

Larger LLPs (above the turnover or contribution limits in Rule 25) need Form 11 certified by a practising company secretary; others are signed by a designated partner. Check the current limits on the MCA form before filing.
