Moving your company's registered office: which approval you need and filing INC-22 within 30 days

Last updated 22 Oct 2026 · India

Short answer. Under section 12(4), a company files notice of every change of its registered office with the Registrar in Form INC-22 within 30 days of the change. Within the same city, town or village a board resolution is enough. Outside those local limits a special resolution is needed; moving to another ROC's jurisdiction in the same state also needs the Regional Director's confirmation (INC-23), and moving to another state means altering the MoA with Central Government (Regional Director) approval.
