Agreement of sale vs registered sale deed: checklist for Hyderabad / Telangana buyers
Short answer: An agreement of sale (agreement to sell) is a promise to sell later. It is not the sale. The Telangana Registration & Stamps Department's Registration FAQ (Q19) says: "According to Transfer of Property Act right, title or interest can be acquired only if the deed is registered." Q20 adds that a compulsorily registrable deed of transfer that is not registered "will not affect the immovable property comprised in the deed and it will not be admissible in evidence (Sec.49 of Registration Act 1908)". So until the sale deed is registered at the Sub-Registrar office (SRO), treat your money as at risk, however many signatures the agreement has. This page shows what the official pages and orders said when we read them on 15 Oct 2026.
Agreement of sale vs registered sale deed: the difference at a glance
- What it does: the agreement records a promise and terms (price, advance, dates). The registered sale deed is the document the FAQ says passes "right, title or interest".
- Possession under an agreement: FAQ Q3 says contracts to transfer for consideration, for the purpose of section 53A of the Transfer of Property Act, must be registered if executed on or after the Registration and Other Related Laws (Amendment) Act, 2000; if not registered, "they shall have no effect for the purposes of the said section 53A". What that means for your case is a question for your lawyer.
- GPA is not ownership either: FAQ Q32: "It is wrong to say that ownership is transferred by getting General Power of Attorney. Persons purchasing property must get the sale deed registered."
- What the EC shows: FAQ Q38–Q39: the encumbrance certificate (EC) is a record of registered transactions; "unregistered transactions are not included". An unregistered agreement in your favour will not appear on the EC, and neither will someone else's unregistered agreement on the same property.
- Copies of registered documents (CC): FAQ Q40 says any person may obtain a copy of a registered document relating to immovable property. See our CC guide.
Stamp duty on a sale agreement vs a sale (G.O.Ms.No.59, from 22-07-2021)
- Sale Agreement without Possession (Article 6(B)): 0.5%, not adjustable.
- Sale Agreement with Possession (Article 47-A): 5.5%, adjustable.
- Sale Agreement cum GPA (Articles 47-A and 42): 6.5% (5.5% adjustable and 1% not adjustable).
- Sale (Article 47-A): 5.5%.
Source: G.O.Ms.No.59 dated 20-07-2021, linked as "Stamp Fees" on the department's site (re-downloaded 15 Oct 2026; file unchanged from our 14 Oct copy). "Adjustable" is the order's word; how the SRO adjusts it against the later sale deed is (to verify) with the SRO. Transfer duty is not in this order.
Registration fee (notification in force from 02-09-2021)
- Sale deed: 0.5% (property outside a Gram Panchayat); 2% (property in a Gram Panchayat).
- Agreement to sell / construct / develop immovable property: 0.5%, minimum Rs 5,000, maximum Rs 50,000.
- Agreement of Sale cum General Power of Attorney: 0.5%, minimum Rs 5,000, maximum Rs 1,00,000.
Worked example (illustration only)
A Hyderabad flat (not in a Gram Panchayat) at Rs 50,00,000. Agreement without possession: 0.5% stamp duty = Rs 25,000, not adjustable. Agreement with possession: 5.5% = Rs 2,75,000, marked adjustable. Sale deed: 5.5% = Rs 2,75,000 stamp duty plus 0.5% registration fee = Rs 25,000. Duty is on market value or price as the SRO applies it; ask the SRO for the full total, including transfer duty, before you go (to verify).
Checklist: before you pay more than the token advance
- Get the seller's title documents and copies of registered documents (CC) for the chain, and pull the EC. The department's Property Transaction Advisory says: verify EC and copies of documents before buying, and that possession is "the most important aspect of ownership besides marketable title".
- Check the names. The person signing the agreement should be the owner shown on the last registered deed. If an "agreement holder" or GPA holder is selling, read FAQ Q32 above and the Advisory's warning of "forged power of attorneys including fabricated powers as if given by NRI principals". See our NRI POA guide.
- Stamp the agreement at the rate for what it really is (with or without possession, with or without GPA) per G.O.Ms.No.59. Stamp route: our e-stamp / franking guide.
- Put the sale-deed date in writing and tie the big payment to the registration day, not to the agreement. Ask your lawyer about registering the agreement itself.
- Watch the clock. FAQ Q21: present a document within four months of execution; if executed out of India, four months from its first receipt in India; up to another four months with a penalty of up to ten times the registration fee with the District Registrar's permission; after eight months it cannot be accepted.
- New project? TG-RERA's RERA ALERT lists a promoter collecting more than 10% advance without entering into an agreement of sale as a ground for complaint. Verify the project's TG-RERA registration first.
- Registration day: Pre Registration, payment and slot per the Slot Booking Advisory and our slot guide (login / payment screens (to verify)). Afterwards, apply for mutation.
What it means for you
- Green: seller's name matches the last registered deed and the EC; agreement stamped at the G.O. rate; only a token advance paid; sale deed date fixed and the balance is paid at registration.
- Amber: agreement on plain or low-value paper, "registration later", possession being handed over on an unregistered agreement, or the agreement was signed abroad and the four-month clock is running.
- Red: most of the price already paid on an unregistered agreement; the "seller" is only an agreement holder or GPA holder; the EC or CC copies show another sale, mortgage or registered agreement; or eight months have passed since execution. Stop and see a lawyer before paying anything more.
